Without expert guidance through complex corporate transactions such as mergers and acquisitions, disposals and management buy-outs, you can risk the success of the whole project.
It’s a given that your lawyers should make the deal happen. However, faultless project management from start to finish, targeted risk assessed due diligence, knowing what matters commercially in negotiations and really understanding what success looks like for you; those skillsets are what makes our team stand out from its competitors.
Acquisitions and mergers can take many forms, each with its own dynamic and focus:
- Trade acquisitions and sales:
- Where a buyer is looking to add to its product stack, expertise or geographical footprint
- Often these buyers have external investors who have invested on a buy and build basis
- These companies can be anything from local, regional or national competitors, suppliers or customers who could be based overseas or sovereign funds
- Management buy outs:
- Where shareholders sell their company to a senior management team (perhaps recruiting an external new member of the team to supplement the skill-base)
- Can be fully leveraged arm’s length transactions with MBO using equity and/or debt financing, but often the sellers have to wait for some of the price to be paid over time
- Alternatively could take the form of “softer MBOs” where management may use a lower level of external funding to use the earnings from the target company to fund the price over time. This often means the sellers will require some level of control over the trading of the target after completion of the deal to safeguard its trading
- Sale to employee ownership trusts (EOTs)
- Similar in nature to soft MBOs in that employees create a special form of trust which buys shares which are then held on trust for ALL the employees of the company, and is run by a management team
- Very generous tax treatment of sale proceeds from a sellers’ perspective but some limitations on the protections sellers can have to mitigate the risk of the payment instalments of the price

Paris Smith recently acted on the merger of two regional specialist waste management companies. Environmental and Engineering Group Limited is the new holding company for the enlarged group which is a leader in the provision of specialist waste management and disposal across the south and south west. Yellowstone Environmental has a long and rich history in transporting and disposing of hazardous waste in the shipping , construction, oil, aviation and space sectors from its base in Dorset. Its merger with Portsmouth and Plymouth- based Marlin Environmental, which specialises in the maritime, transport , defence and leisure industries means that the combined group can now provide a streamlined one stop shop for the management , transportation and engineering of their clients’ sites and vessels. This in turn delivers speed and efficiency and reduces down time. All directors and shareholders remain in the enlarged group
The group’s customers include delivering contracts to maintain Royal Navy warships, commercial ferries, cruise ships, event sites and retail stores nationwide.
The Paris Smith corporate team comprised Amanda Brockwell Claudia Mihai, and Alice Binns who worked on the merger paperwork which also included dealing with the exercise of EMI options for senior management, dealing with stamp duty applications for relief, and all corporate paperwork dealing with the new group structure.

Based in Oxfordshire, Aspect Ecology is a specialist 40 strong consultancy practice, providing ecology professional services and is the sixth acquisition of APEM Group which is backed by Westbridge. The deal sees Alistair Baxter and his team at Aspect join APEM and its 600 strong expert team to help provide solutions through innovative design and imaginative thinking. Both firms will also open themselves up to shared learning across their combined terrestrial team, which will help bring best practice to their clients.

Amanda Brockwell led the team at Paris Smith who acted for Hillier Nurseries in its acquisition of Rosebourne Limited, a company with a portfolio of three garden and homeware centres. This deal further expanded Hillier Nurseries’ growing chain of garden centres into new areas. Hillier now owns 22 garden centres, 10 of which have been acquired by the team at Paris Smith. This transaction involved strong co-ordination and team working on the project across the firm including corporate, commercial, property, banking, planning and employment specialisms and demonstrated the Firms’ strength in depth
The acquisition involved a very large number of selling shareholders, option holders, warrant holders and specialist private equity investor, Puma Investments Limited. Given the large number of sellers, many of whom were remote EIS investors, W&I insurance was negotiated and put in place upon completion.

With a workforce of 7 staff it generated a revenue of approximately EUR 30 million in financial year 2022.

Paris Smith acted for the shareholders of tech company, AutoLogic Systems Limited on its acquisition by French-owned Routeco Limited, with whom AutoLogic have partnered successfully since 2019. AutoLogic is a leading provider of simulation related products and consulting services, providing software solutions to the manufacturing, transport and logistics sectors. Their clients include Nestle, Homebase and Gatwick Airport.
The acquisition provides both companies with the perfect opportunity to further develop their businesses as a part of a larger close working group. Day to day, the business continues to operate with the former shareholders remaining as directors and operating from their current premises near Oxford.
